David R. Lavance Jr. JD.,

Mr. David R. LaVance, Jr., J.D., served as a Partner and Venture Partner at Allegory Venture Partners, LLC. Mr. LaVance has been the Chairman, CEO, and President of Scivanta Medical Corporation since March 21, 2003. Mr. LaVance served as the CEO and President of Integrated Environmental Technologies Ltd. from June 16, 2011 to November 15, 2016. He co-founded Century Capital Associates LLC in 1997 and has been President since that time. Mr. LaVance specializes in developing life science and other emerging technology companies and advises companies regarding mergers, acquisitions, divestitures and strategic alliances. He has extensive experience in strategic planning for biotechnology and medical device companies, technology licensing and international distribution. He served as Managing Director of KPMG Health Ventures from 1995 to 1997. For the previous three years, from 1992 to 1995, Mr. LaVance served as President of Nuclear Care Inc. From 1987 to 1992, he served as President of Dornier Medical Systems and held a series of operating positions there. Before joining Dornier, Mr. LaVance was Associate Counsel at Healthdyne, Inc. (1985-1986) where he led licensing, OEM, and acquisition transaction efforts. Prior to 1987, he was an Attorney in private practice. From July 2011 to June 2015 Mr. LaVance served as Chairman of Hologic Inc. He worked as a Director of Hologic Inc. from December 2002 to March 2, 2016 and held the position of Lead Independent Director from June 2008 to July 28, 2011. He has been a Director of Medi-Hut Co. Inc., since March 21, 2003. Mr. LaVance holds a B.A degree from Furman University and a J.D. from Washington College of Law. Most recently, Mr. LaVance served as an Executive Chairman of Integrated Environmental Technologies Ltd. from May 2011 until May 10, 2017.

As Former Executive Director of Technology Transfer at the Cleveland Clinic Foundation Cleveland, Ohio, PHS Primary Health System, Cleveland, Ohio has provided Dr. Shah the unique experience as both a medical technologist and business management professional, Dr. Shah helped achieve exceptional corporate growth which made him a desirable and valuable asset at each of the organizations he guided. AtCCF, a $2.2Billion diversified medical, education, research and medical practice organization, he was the Director of Technology Transfer Office where he coordinated the work of many physicians and medical personnel in their quest to license their patented technologies to suitable medical and pharmaceutical companies. His duties involved obtaining Patents, managing royalties flow, working with venture companies, M&A groups and other funding sources. Dr. Shah was a participant in the State of Ohio sponsored Edison biotechnology Center (EBTC) start-up while at CCF. This Center is now known as Bio Enterprise Inc., a successful incubator specializing in biomedical start-ups. Collectively, he worked in various departments such as R&D, Marketing, Venture group, and M&A group. He assisted Sherwood medical in its acquisition of a Dallas based UROLOGICAL SILICONE PRODUCT a $70 million company. He helped FASSON to license with 25 Pharmaceutical (USA) companies to develop and manufacture TRANSDERMAL drug delivery system for a variety of drugs.

Thomas S. Gifford is the Vice President of Century Capital Associates, a consulting firm he co-founded in 1997. Century Capital provides executive management consulting as well as business and transaction advisory services to public and private companies during the development, growth and/or turnaround stage. During his 25+ year career, Mr. Gifford has worked extensively in the areas of financial management and business planning, M&A, divestitures, equity/debt financings, licensing transactions and organizational transformation and change management. He has served in executive leadership roles with several client companies and has extensive experience in operational management, financial analysis, accounting and budgeting, financial reporting and SEC compliance, corporate governance, contracting/legal and managing shareholder, investor and board relations. Representative engagements that Mr. Gifford has worked on during his career at Century Capital include:

  • Engaged as Executive Vice President & Chief Financial Officer to turn around and revitalize a struggling, publicly traded manufacturing company with a flawed business model, unstable financial infrastructure, and a history of compliance and regulatory challenges. Partnered with CEO to evaluate and redefine existing business strategy and operating processes, while adhering to the company’s mission of providing an innovative and environmentally responsible cleaning and disinfecting solution.

  • Engaged as Executive Vice President, Chief Financial Officer & as a member of the Board of Directors to engineer a complete turnaround of a publicly traded medical device company that was battling several class action litigations and undergoing securities and accounting fraud investigations by the SEC and U.S. Attorney’s Office. Planned and executed a comprehensive business transformation to reduce risk, eliminate compliance issues, and position the company for exponential growth. Assisted in securing approximately $8 million of financing for the Company through equity/debt offerings and legal settlements. Managed all operational, legal and general accounting, budgeting, taxation, financial analysis, and internal/external reporting functions.

  • Engaged by a SAAS company that has developed an application for use in the healthcare industry to develop business and market strategy, develop financial plan and models, review and rectify issues with corporate structure and certain existing agreements and to assist in securing financing.

  • Negotiated a development agreement with a pharmaceutical company, raised money through a private placement, and negotiated an in-license technology from a university and medical school for this development stage drug delivery company. Provided company with $6.5 million in financing by negotiating a joint venture.

  • Orchestrated the sale of a $35 million and a $30 million contract research organization. Identified buyer, performed due diligence, prepared company for sale, and negotiated deal.

  • Coordinated a licensing agreement for a development stage drug delivery company with a pharmaceutical company, which included a $3 million payment to client. Advised company through two joint venture transactions involving $17.8 million of financing.

  • Provided transaction advisory services to a neurological gene & drug discovery company for two joint venture transactions with a pharmaceutical company that provided client with $20.8 million of financing.

  • From 1995 through 1997, Mr. Gifford was a Manager and Associate Director of KPMG Health Ventures, an advisory group providing investment banking services to healthcare companies. From 1990 through 1994, Mr. Gifford was an accountant for KPMG Peat Marwick LLP, where he provided auditing and financial due diligence services to various publicly traded and privately held emerging technology companies. Mr. Gifford is a licensed attorney in New York and New Jersey and is a Certified Public Accountant. Mr. Gifford received a B.S. degree from Rutgers University and a J.D. degree from Seton Hall University School of Law.
